The Expedition Providers, not URCU, are solely responsible for the provision of expeditions.
URCU does not deliver, and is not responsible for the advice or services of any Expedition Provider. Expedition Providers are not employees or agents of URCU and URCU is not an agent of any Expedition Provider. URCU does not sponsor, endorse, recommend or approve any Expedition Provider. URCU is not responsible for any action or inaction of any Expedition Provider. Further, URCU does not recommend that any person embark on an expedition. It is solely your responsibility to determine whether you are fit for an expedition, choose to embark on an expedition, and which Expedition Provider you partner with.

Any terms of an agreement for an expedition are between Expedition Provider and you and do not expand URCU’s obligations or restrict URCU’s rights under these Terms. You agree that URCU is not a party to any expedition agreement and the formation of an expedition agreement will not, under any circumstance, create an employment or other service relationship between URCU and you or between URCU and the Expedition Provider.

TO THE FULLEST EXTENT PROVIDED BY LAW, WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE WEBSITE OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE OR TO YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY WEBSITE LINKED TO IT.

Limitation of Liability

Indemnification

You agree to indemnify and hold URCU and its officers, directors, employees, affiliates, agents, licensors, and business partners harmless from and against any and all costs, damages, liabilities, and expenses (including attorneys’ fees and costs of defense) URCU or any other indemnified party suffers in relation to, arising from, or for the purpose of avoiding, any claim or demand from a third party or governmental entity or agency: (i) that your use of the Website or the use of this Website by any person using your user name and/or password (including without limitation, your participation in the posting areas or your submissions) violates any applicable law or regulation, or the copyrights, trademark rights or other rights of any third party; (ii) arising out of your fraud, willful misconduct or negligence; (iii) arising out of your breach of these Terms; or (iv) arising out of expeditions that you participate in; and (v) any disputes with an Expedition Provider.

Limitation on Time to File Claims

ANY CAUSE OF ACTION OR CLAIM YOU MAY HAVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE WEBSITE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES, OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

Governing Law

All matters relating to the Website and these Terms and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Delaware, USA without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Website shall be instituted exclusively in the state or federal courts of the State of Delaware, USA although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Arbitration

At our sole discretion, it may require you to submit any disputes arising from the use of these Terms or the Website, including disputes arising from or concerning their interpretation, violation, invalidity, non-performance, or termination, to final and binding arbitration under the Rules of Arbitration of the American Arbitration Association.

Waiver and Severability

No waiver of by URCU of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of URCU to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

Entire Agreement

These Terms constitute the sole and entire agreement between you and URCU regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.
